1. Acceptance of Terms

By registering on ShopSupplier or using any part of this platform, you agree to these Terms of Service. If you do not agree, please do not use ShopSupplier.

These terms apply to all suppliers who register on the platform and all customers who browse catalogues or place orders.

2. What ShopSupplier Provides

ShopSupplier is a digital catalogue and product discovery platform. We provide:

A public web page (catalogue) for your products, indexable by Google Search
Tools to upload, manage, and display your products
A global search and discovery feature where products from multiple suppliers appear together in search results
Sponsored Listings — suppliers may pay to have their products ranked higher in search results
An order notification system that sends customer inquiries directly to your WhatsApp and also records them in your Supplier Dashboard for reference
A supplier dashboard to manage products, orders, and inventory

      📌 ShopSupplier is a discovery and order routing platform only. We connect suppliers and customers — we do not process payments, handle shipping, or guarantee sales. Order fulfilment and payment collection are entirely the supplier's responsibility.
    

3. Supplier Responsibilities

As a registered supplier, you agree that:

All product information (name, price, description, images) you upload is accurate and lawful
You are solely responsible for fulfilling orders received via WhatsApp
You are solely responsible for collecting payments from customers
You will not upload counterfeit, illegal, or prohibited products
You will keep your product inventory updated to avoid misleading customers
You are responsible for your own shipping, returns, and refund policies

4. GST and Tax Compliance

⚠️ ShopSupplier is not responsible for your GST compliance, tax filings, or any tax liabilities arising from your sales. All tax obligations are entirely your own responsibility as the seller.

ShopSupplier is a technology platform, not an e-commerce operator under GST law. Each supplier operates their own independent business. By registering, you acknowledge that:

You understand your own GST obligations as a seller
ShopSupplier does not collect or remit GST on your behalf
You are responsible for issuing proper invoices to your customers if required

5. Activation Code and Access

To register as a supplier, you need an activation code obtained by contacting us via WhatsApp. The activation code is:

Single-use — it cannot be reused after registration
Non-transferable — it is issued to one supplier only
Non-refundable once activated

We reserve the right to revoke access if these terms are violated.

6. Service Fees & Account Activation

All new supplier accounts require a one-time activation fee before the dashboard is made accessible. Upon successful payment, your account is provisioned with catalogue management, inventory tools, and search engine indexing.

Activation charges are communicated directly via WhatsApp or Email during registration
The activation fee is strictly non-refundable once your account is provisioned
Optional Promotional Packages (Sponsored Listings, featured placements) are available at additional charges — any amount utilised towards these is also non-refundable

      📌 Product ranking in search results and index pages is determined by ShopSupplier's algorithm and any active Promotional Package held by the supplier. Paying for promotion does not guarantee a specific position or number of inquiries.
    

⚠️ The activation fee is non-refundable due to the instant allocation of cloud resources and digital setup upon payment. Ad budgets once consumed are non-refundable.

7. Prohibited Content

You may not list the following on ShopSupplier:

Illegal, counterfeit, or stolen products
Products that infringe on intellectual property rights
Adult content, weapons, drugs, or any prohibited substances
Misleading or fraudulent product listings

We reserve the right to remove any listing and suspend any account that violates these rules without prior notice.

8. Platform Availability

We aim to keep ShopSupplier available at all times, but we do not guarantee uninterrupted service. We are not liable for any loss of business due to platform downtime, data loss, or technical issues.

9. Limitation of Liability

ShopSupplier and thoibatrader.com are not liable for:

Disputes between suppliers and customers regarding products, payments, or delivery
Financial losses arising from use or inability to use the platform
Accuracy of product listings created by suppliers
Tax liabilities or legal issues arising from supplier's business activities

      📌 All transactions, payments, and disputes are strictly between the supplier and the customer. ShopSupplier has no role in these transactions.
    

10. Intellectual Property

By uploading product images and descriptions to ShopSupplier, you confirm that you have the right to use this content and grant ShopSupplier a non-exclusive licence to display it on the platform for the purpose of your catalogue.

You also acknowledge that your uploaded products may appear in any part of the ShopSupplier platform — including global search results, category pages, or comparison grids — alongside products from other suppliers. This is a core feature of the platform's discovery system.

The ShopSupplier name, logo, and platform design are owned by thoibatrader.com.

11. Third-Party Disclaimer

ShopSupplier is an independent platform. We are not affiliated with, sponsored by, or endorsed by WhatsApp™ or Meta Platforms, Inc. References to WhatsApp refer to the messaging service used for order communication between suppliers and their customers.

12. Fair Usage Policy

To ensure a fast, reliable, and consistent experience for all suppliers on the platform, ShopSupplier operates under a Fair Usage Policy governing product listings, image uploads, storage, and bandwidth consumption.

12.1 Product Listing Limit

Your activation fee grants you access to the platform along with a standard catalogue capacity of up to 300 products, with a maximum of 3–4 images per product. This allocation is designed to cover the needs of most small and growing suppliers comfortably.

      📌 Your activation includes 300 product listings as part of the standard plan. Suppliers who require additional capacity beyond this limit may request an upgrade — additional charges will apply for extended catalogue plans.
    

12.2 Storage & Bandwidth Management

ShopSupplier is hosted on third-party cloud infrastructure (including services such as Cloudinary and Firebase). To maintain platform speed and performance for all users, we reserve the right to:

Automatically compress or optimise oversized image files without prior notice
Apply storage or bandwidth caps if a supplier's usage significantly exceeds fair-use thresholds
Recommend a custom plan or apply a maintenance surcharge for accounts with consistently high storage or bandwidth consumption

12.3 Right to Revise Limits

As platform hosting and third-party infrastructure costs evolve, ShopSupplier reserves the right to revise storage limits, product caps, and associated pricing at any time. Any such changes will be reflected in these Terms, and continued use of the platform following an update constitutes your acceptance of the revised terms.

⚠️ If your catalogue requirements exceed the standard 300-product limit, please contact us via WhatsApp before uploading. We will assess your needs and offer a suitable plan to ensure uninterrupted access to your account.

13. Changes to Terms

We may update these Terms of Service at any time. The "Last updated" date will reflect any changes. Continued use of ShopSupplier after changes means you accept the updated terms.

14. Governing Law

These terms are governed by the laws of India. Any disputes shall be subject to the jurisdiction of courts in India.
